Terms of Use

These Terms of Use ("Terms") govern your access to and use of Senate of AIs™ (the "Service"), a product of The Marcus Institute™, owned and operated by Keith David Whalen ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

You must be at least 16 years old to use the Service. You are responsible for all activity under your account and for keeping your credentials secure. You agree to provide accurate information and to update it when it changes.

2. Acceptable use

You will not use the Service to:

  • Generate, request, or share content that promotes self-harm, violence, illegal activity, exploitation, or harassment.
  • Attempt to reverse engineer, resell, or sublicense the Service or its underlying models.
  • Bypass safety features, rate limits, or authentication controls.
  • Upload content you do not have the right to use, including confidential information belonging to third parties.
  • Use the Service to make consequential decisions affecting a person's rights, safety, employment, health, or finances without meaningful human review.

3. Bring-Your-Own-Key (BYOK) and third-party AI

The Service allows you to connect API keys from third-party AI providers (e.g. OpenAI, Anthropic, Google). Your use of those providers is governed by their own terms, and you are responsible for any charges they impose. We encrypt keys you submit to us, but we cannot control the third parties' handling of requests you send through them.

4. Human-judgment disclaimer

The Service produces AI-generated deliberations, opinions, and votes. These are decision-support outputs — not professional legal, medical, financial, engineering, or other regulated advice. You are the decision-maker. You must apply your own judgment and, where appropriate, consult qualified professionals before acting on any output.

5. Your content

You retain ownership of the questions, materials, and notes you upload ("Your Content"). You grant us a limited, non-exclusive license to store, display, and process Your Content solely to provide the Service to you. We do not use Your Content to train third-party foundation models.

6. Intellectual property

Senate of AIs™ — including its concept, method, multi-agent deliberation flow, Chief Senator™ workflow, interface, and code — is the intellectual property of Keith David Whalen. Patent pending. The marks Senate of AIs™, Chief Senator™, and The Marcus Institute™ are trademarks of Keith David Whalen. All rights reserved.

Nothing in these Terms grants you any right, title, or license in the marks or underlying inventions, except the limited right to use the Service under these Terms.

7. Fees and subscriptions

If you subscribe to a paid plan, fees are billed in advance and are non-refundable except where required by law. We may change pricing on reasonable notice; changes apply to your next billing period.

8. Termination

You may stop using the Service at any time and request account deletion by contacting us. We may suspend or terminate accounts that violate these Terms or that pose a safety or security risk.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the claim or (b) CAD $100.

11. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute not subject to informal resolution.

12. Changes

We may update these Terms from time to time. Material changes will be announced in-app or by email. Continued use after a change means you accept the updated Terms.
